We assist boards and senior executive teams in developing effective parent-subsidiary relationships. In addition to topical reviews of specific group functions or individual subsidiary governance, we have pioneered the development of a “holistic” group governance policy, a critical component of internal control in multi-entity groups. This policy establishes common standards of governance to be applied across group entities, including key controls for each group function and business. It aims at an adequate distribution of responsibility and co-ordination of decision making across organisations facing multiple stakeholders in several jurisdictions. In view of recent regulatory changes, we have developed a specific group governance approach and methodology for the financial sector.
